Computer Knacks, Inc. is referred to variously herein as "Computer Knacks", "our", "us", "we".

The term "SOFTWARE" refers herein to our computer software program known by the trade name SendLink.

The term "FILES" refers herein to all copies of either or both, construed most inclusively, the distribution files eminating from us, and/or the files resulting from the installation and/or use of any and all versions of the SOFTWARE in your possession or under your control.

The term "AGREEMENT" refers herein to this Software License Agreement.

The term "AGENT" refers herein to a duly authorized representative of Computer Knacks.

Other terms are defined within this AGREEMENT in the context of their first use.

The installation and/or use of the SOFTWARE indicates:

• Your acceptance of the terms and conditions of this AGREEMENT;

• Your acknowledgment that you have read this AGREEMENT, understand it, and agree to be bound by its terms and conditions;

• That this AGREEMENT is the complete and exclusive agreement between you (either an individual or an entity) and Computer Knacks, Inc. that supersedes any proposal or prior agreement, oral or written, and any other communications between us relating to the subject matter of this AGREEMENT;

• That you are duly authorized to enter into this AGREEMENT.

If you do not agree with the terms and conditions herein, you should immediately cease using the SOFTWARE, and promptly destroy all FILES.

This SOFTWARE and related documentation are the property of Computer Knacks, and are protected by copyright law and international treaty. All rights are reserved.

Title to the SOFTWARE shall remain at all times with Computer Knacks.

In exchange for mutually agreed upon and delivered consideration, you are granted by this AGREEMENT a non-exclusive, non-transferable license to use ("USER LICENSE") the SOFTWARE, subject to the terms and conditions herein.

You may install one copy of the SOFTWARE on one computer for use by a single and distinct, non-concurrent user for non-commercial application.

You may not sublicense, lend, rent, lease or otherwise assign your USER LICENSE to the SOFTWARE. Any such attempt is void.

You may not reverse engineer, decompile, disassemble or otherwise inspect the SOFTWARE in any manner whatsoever, including but not limited to its executable code, algorithms and data formats.

You may not alter the SOFTWARE in any manner whatsoever.

Use of the SOFTWARE in a manner which is unlawful or expressly forbidden, or in a manner which is not expressly granted, is strictly prohibited.

We offer an evaluation mode ("EVALUATION MODE") of the SOFTWARE which differs functionally from the registered mode ("REGISTERED MODE") of the SOFTWARE by its use of various protection measures ("PROTECTION MEASURES") that intentionally render the SOFTWARE incomplete, ineffective and/or inconvenient to use in various ways as compared to the REGISTERED MODE, which is characterized by a functional lack of PROTECTION MEASURES. Such PROTECTION MEASURES are intended to protect our intellectual property rights. Any attempt to circumvent the PROTECTION MEASURES is a violation of the law. Use of a version of the SOFTWARE in which the PROTECTION MEASURES have been in any way circumvented or otherwise bypassed is forbidden.

We offer use specifically of the EVALUATION MODE under a special, one-time, limited-duration evaluation license ("EVALUATION LICENSE") expressly and solely in order to facilitate your assessment of the suitability of the SOFTWARE to your needs. Use of the EVALUATION MODE outside of the terms of this EVALUATION LICENSE is forbidden. This EVALUATION LICENSE shall not be construed to extend to the REGISTERED MODE.

In order to continue to use the SOFTWARE beyond the terms of the EVALUATION LICENSE, you must have a valid USER LICENSE.

You may make copies of the FILES for backup or archival purposes only. Copying FILES for any other reason is strictly prohibited.

This AGREEMENT remains in effect until terminated.

This AGREEMENT, and thus your USER LICENSE, will terminate automatically and without notice:

• Upon conditions explicitly set forth herein;
• If you fail to comply with any term or condition of this AGREEMENT;
• If you infringe any Computer Knacks trademark, copyright or trade secret;
• If you fail to pay any amount due to Computer Knacks.

Upon termination of this AGREEMENT, you shall:

• Cease use of the SOFTWARE;
• Destroy all FILES.

You may terminate this AGREEMENT by ceasing use of the SOFTWARE and destroying all FILES.

The SOFTWARE is provided "AS IS", without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Computer Knacks does not warrant that the functions contained in the SOFTWARE will meet your requirements or that the operation of the SOFTWARE will be uninterrupted or error free. The entire risk as to the quality and performance of the SOFTWARE is with you. Should the SOFTWARE prove defective, you (and not Computer Knacks or its AGENT) assume the entire cost of all necessary servicing, repair and/or correction.

Computer Knacks offers the limited warranty ("LIMITED WARRANTY") that the physical or electronic distribution media on or by which the SOFTWARE is furnished to you be free from defects in material and workmanship under normal use for a period of sixty (60) days from the date of delivery to you (the "WARRANTY PERIOD"), as evidenced by a copy of your receipt. Any replacement media shall be of like kind and is warranted for the remainder of the original WARRANTY PERIOD or thirty (30) days, whichever is longer. Replacement of distribution media after the WARRANTY PERIOD has expired is at the sole discretion of Computer Knacks.

This LIMITED WARRANTY is void if failure of the product has resulted from accident, abuse, or misapplication.

Some states and provinces do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. This LIMITED WARRANTY gives you specific legal rights and you may also have other rights that vary from state to state and province to province.

Computer Knacks' entire liability and your exclusive remedy shall be:

• In the case of physical distribution media, the replacement of any damaged physical distribution media meeting the conditions of the LIMITED WARRANTY that are returned to Computer Knacks, or its AGENT, with a copy of your receipt;
• In the case of electronic distribution, including but not limited to email or download, a retransmission of the electronic media.

In no event shall Computer Knacks be liable for any damages whatsoever, including without limitation any lost profits, lost savings, or any other incidental or consequential damages arising out of the use of or inability to use the SOFTWARE, even if Computer Knacks or its AGENT has been advised of the possibility of such damages, or for any claim by any other party. Some states and provinces do not allow the limitation or exclusion of liability for incidental or consequential damages, in which case the above limitation or exclusion may not apply to you.

Whenever possible, each provision of this AGREEMENT shall be interpreted in such a manner as to be valid and effective under applicable law. If any provision is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this AGREEMENT and shall not affect the validity and enforceability of remaining portions of this AGREEMENT.

Jurisdiction for any dispute arising from this AGREEMENT shall remain with and be governed by the laws of the state of New Jersey, USA.
